Terms of Service

These Terms of Service ("Terms") govern your use of https://theklaros.com (the "Site") and your purchase of products from Apex Elite Holdings LLC, dba Klaros ("Klaros," "we," "us," or "our"). They form a legally binding agreement between you and us.

These Terms contain a binding individual arbitration clause and a class action waiver. Please read Section 19 carefully.

By using the Site, placing an order, or enrolling in a subscription, you agree to these Terms and the policies they reference, including our Privacy Policy, Refund Policy, and Shipping Policy. If you don't agree, don't use the Site. Our online store is hosted by Shopify Inc.

1. Eligibility
You must be at least 18 years old, or the age of majority where you live, to place an order. If you are younger, you may only use the Site with the involvement and permission of a parent or legal guardian.

2. Orders and Contract Formation
Submitting an order is an offer to purchase. Our order confirmation email acknowledges receipt but does not guarantee final acceptance. All orders are subject to product availability, payment authorization, and fraud review.

We may accept, decline, limit, or cancel any order, including where we suspect fraud, unauthorized payment, resale, promotion abuse, pricing errors, or inaccurate information. If we cancel an order after you've been charged, we will refund the full amount to your original payment method.

3. Personal Use Only
Products are intended for personal, non-commercial use. You may not buy for resale or redistribution. We may cancel orders, limit quantities, or restrict accounts where we reasonably believe products are being resold or promotions are being abused.

4. Products and Descriptions
We work to describe and display our products accurately. Colors, packaging, and appearance may differ slightly from images because of screen settings or product updates. Products may be modified, discontinued, or unavailable without notice.

Our products are cosmetic personal-care items for external use only. Individual results vary. Our products are not intended to diagnose, treat, cure, or prevent any condition. Stop using a product if irritation occurs, and consult a healthcare professional first if you have sensitive skin, allergies, or a skin condition.

We may correct errors in descriptions, prices, promotions, shipping, or availability. If an error materially affects an order you've already placed, we may contact you, correct the order, or cancel and refund it.

5. Pricing and Payment
Prices are in U.S. Dollars unless stated otherwise and may change before you complete an order. The price shown at checkout when you submit your order applies, subject to correction of obvious errors.

You authorize us and our payment providers (including Shopify Payments) to charge your selected payment method for product charges, taxes, and any subscription renewals you've authorized. You agree to provide current, accurate billing information. Your bank may charge its own fees, including foreign transaction fees, which we don't control.

6. Taxes, Duties and International Orders
Applicable sales taxes are calculated at checkout. For international orders, customs duties, import taxes, and brokerage fees may apply and are your responsibility.

7. Shipping and Delivery
Orders ship to the address you provide. Shipping is free. Processing times and delivery estimates are stated in our Shipping Policy. Delivery dates are estimates, not guarantees. Delays can result from carriers, customs, weather, holidays, incorrect addresses, or other events outside our control. Orders may ship in multiple packages. We may be unable to change an address once an order has entered fulfillment.

8. 30-Day Money-Back Guarantee, Returns and Refunds
Every Klaros order is covered by our 30-Day Money-Back Guarantee, as described in our Refund Policy, which is part of these Terms.

To request a refund, contact shoptheklaros@gmail.com or +1 517 280 3879 with your order number within 30 days of delivery. For damaged, defective, or incorrect items, we may ask for photos or other reasonable evidence. Approved refunds are issued to your original payment method, and your bank determines how quickly the funds appear.

9. Promotions and Discount Codes
Promo codes have no cash value, can't be combined unless stated, may expire, may be limited to one use per customer, and don't apply to past purchases. We may refuse or cancel an offer in cases of fraud, abuse, or pricing error. Any extra terms shown with a promotion also apply.

10. Klaros Monthly Refill Subscription
This section applies if you choose to enroll in an automatically renewing subscription. Enrollment is optional, and you can always choose a one-time purchase.

Enrollment and billing. Before you enroll, the Site shows the product, price, any discount, and billing and shipping frequency. By enrolling, you authorize us to charge your payment method and create a new order every 30 days until you cancel. Your first charge happens at checkout, and each refill is charged and shipped on your renewal date.

Renewal reminder. We'll email you 3 days before each renewal with the upcoming charge, the billing date, and how to skip, pause, change, or cancel.

Managing your subscription. You can skip a shipment, pause, update your shipping address or payment method, change your delivery frequency, or cancel through our customer portal, or by emailing shoptheklaros@gmail.com or calling +1 517 280 3879.

Cancellation. You can cancel at any time in one click at https://theklaros.com/pages/cancel-subscription. There is no cancellation fee and no minimum commitment, unless a specific offer says otherwise before you enroll. To avoid an upcoming charge, cancel at least 24 hours before your next billing date. A charge already processed before you cancel is treated as an existing order and is covered by our Refund Policy.

Failed payments. If a payment fails, we may retry it, contact you, ask you to update your payment method, or delay or cancel the shipment. You remain responsible for any orders already fulfilled.

Price changes. Subscription prices and discounts may change. We'll email you at least 10 days before a price increase takes effect, and you can cancel before the new price is charged. Changes never apply to an order already charged.

Our rights. We may suspend or end a subscription for fraud, repeated payment failure, resale, promotion abuse, or violation of these Terms, and we may modify or discontinue the subscription program, subject to applicable law.

11. Customer Accounts
You are responsible for keeping your account secure and your information accurate. Contact us right away if you suspect unauthorized use of your account or payment details.

12. Privacy
Our Privacy Policy explains how we collect and use personal information. By using the Site, you acknowledge you have access to it.

13. Intellectual Property
All Site content, including the Klaros name, logos, product names, photos, videos, designs, packaging, and written content, is owned by or licensed to us and protected by law. You may not copy, distribute, modify, or commercially use it without our written permission.

14. Reviews and User Submissions
If you submit a review, photo, or feedback, you confirm you have the right to do so and that it is truthful, lawful, and doesn't infringe anyone's rights. You grant us a non-exclusive, worldwide, royalty-free license to use and display it in connection with our business and marketing. We may remove submissions that violate these Terms.

15. Third-Party Services and Links
The Site may link to or integrate third-party services. We don't control them and aren't responsible for their content, privacy practices, or availability. Your dealings with them are governed by their own terms.

16. Prohibited Uses
You may not use the Site to break the law, infringe others' rights, submit false information, transmit malware, scrape or harvest data, interfere with security, harass others, or get around purchase, pricing, subscription, or promotion limits. We may suspend or terminate access for violations.

17. Disclaimer of Warranties and Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," EXCEPT FOR GUARANTEES WE EXPRESSLY PROVIDE (INCLUDING OUR MONEY-BACK GUARANTEE) OR THAT THE LAW REQUIRES. WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE FULLEST EXTENT PERMITTED BY LAW, KLAROS AND ITS OWNERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID FOR THE ORDER AT ISSUE.

Some jurisdictions don't allow these limits, so they apply only to the extent permitted by law. Nothing in these Terms removes rights that can't legally be waived.

18. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Klaros and Apex Elite Holdings LLC, and their owners, employees, and agents, from third-party claims arising from your unlawful use of the Site, your material violation of these Terms, your infringement of another person's rights, or content you submit in violation of these Terms.

19. Dispute Resolution; Binding Individual Arbitration; Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Informal resolution first. Before starting arbitration, the party raising a dispute must send written notice describing the dispute, the relevant facts, and the relief requested. Notices to us go to shoptheklaros@gmail.com with the subject "Legal Notice." The parties will try in good faith to resolve it informally for 60 days before either starts arbitration.

Binding individual arbitration. Except for claims that can't legally be arbitrated and requests for emergency court relief, any dispute relating to these Terms, the Site, our products, our subscriptions, or your relationship with us will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable rules, before a single neutral arbitrator. If AAA is unavailable, the parties will choose another provider. A court may enter judgment on the award. Fees follow AAA rules and applicable law.

Jury trial waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND KLAROS WAIVE THE RIGHT TO A JUDGE OR JURY TRIAL FOR DISPUTES COVERED BY THIS SECTION.

Class action waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, DISPUTES MUST BE BROUGHT INDIVIDUALLY. Neither party may bring or join a class action, consolidated proceeding, or representative claim for other customers.

Small claims. Either party may bring an individual claim in small-claims court if it qualifies.

Severability and survival. If part of this section is found unenforceable, the rest stays in effect to the extent permitted by law. This section survives termination of these Terms.

20. Governing Law
These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law rules, and the Federal Arbitration Act governs the arbitration agreement. For claims not subject to arbitration or small claims, you consent to the state and federal courts located in Ingham County, Michigan. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

21. Termination
You may stop using the Site at any time. We may suspend or terminate your access for violation of these Terms, nonpayment, fraud, abuse, or security threats. Provisions that should logically survive termination (payment obligations, intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, governing law) will survive.

22. Changes to the Site and These Terms
We may change the Site, our products, and pricing at any time. We may update these Terms, and the "Last Updated" date shows the latest revision. The version in effect when you place an order applies to that order. For subscriptions, we'll give additional notice of material changes where the law requires it. Continued use of the Site after updates means you accept them.

23. Entire Agreement; Severability; Waiver
These Terms and the policies referenced in them are the entire agreement between you and Klaros about the Site and products. If any provision is found unenforceable, it will be limited or removed to the minimum extent necessary and the rest stays in effect. Our failure to enforce a provision isn't a waiver of it.
